• Client is responsible for all applicable taxes

8. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that Services will be uninterrupted or error-free
• Warranties regarding accuracy or reliability of information

We do not guarantee specific results from our property management services. Market conditions, tenant behavior, and property conditions may vary.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELITE PROPERTY MANAGEMENT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Property damage beyond our reasonable control
• Actions or omissions of tenants, contractors, or third parties
• Natural disasters, acts of God, or force majeure events

Our total liability shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Elite Property Management, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use or misuse of our Services
• Your violation of any third-party rights
• Any content you submit or transmit
• Your property or properties under management

11. Termination

We reserve the right to suspend or terminate your access to Services immediately, without prior notice or liability, for any reason, including:

• Fraudulent or illegal activity
• Request by law enforcement or government agencies
• Unexpected technical issues or security concerns

Property management agreements may be terminated as specified in individual contracts. Upon termination, your right to use Services ceases immediately. Provisions that should survive termination will remain in effect.

12. Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your personal information as described in our Privacy Policy. By using our Services, you consent to such collection and use.

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration will take place in our jurisdiction, and judgment on the award may be entered in any court having jurisdiction.

You agree that disputes will be resolved on an individual basis only and not as a class action, consolidated action, or representative action.
